Senior Vice President and Corporate Secretary
James (Jim) Polehna is senior vice president and corporate secretary of Kelly Services. Kelly is a global provider of workforce solutions, always thinking about what’s next in the story of work, connecting talented people to companies in need of their skills and designing talent strategies that help businesses embrace the value of all workers and workstyles.
Jim was appointed to his current position in 2017. He is currently responsible for investor relations, corporate governance, and the oversight of the company’s executive compensation programs.
In his capacity as corporate secretary, Jim is responsible for all compliance matters and corporate governance affairs affecting the company’s board of directors. He manages corporate disclosure and compliance with state corporation laws, the stock exchange listing standards, and SEC reporting and compliance.
With respect to his investor relations role, Jim serves as the key point of contact for the investment community and is responsible for the development and execution of Kelly’s IR strategy and policy implementation. He also oversees the company’s annual report to shareholders, proxy statement, and other financial briefing materials.
As the overseer of Kelly’s executive compensation program, Jim directs all aspects of senior officer compensation, including meeting materials and discussions with the board of director’s compensation committee. He also has oversight of the compensation discussion and analysis portion of the company’s annual proxy statement.
Prior to his current role, Jim was vice president and corporate secretary for Kelly Services. He joined the company in 2001 as director and assistant secretary, and successfully launched the company’s first investor relations program. Previously, Jim was an adjunct professor at Baker College and a vice president with Citizens Banking Corporation for 20 years.
He earned his Bachelor of Science degree and his MBA from the University of Michigan. Jim serves on the board of directors of the Citizens Research Council and is a member of the Global Investor Relations Executive Council of the Conference Board. He is also a member of the Detroit Regional Chamber of Commerce, the Detroit Economic Club, the National Investor Relations Institute (NIRI), the Society of Corporate Secretaries & Governance Professionals.
